PRIVACY POLICY

In this Privacy Policy “we”, “us”, “our” and/or “Navana” refer to Navana Tech India Private Limited and ‘you’ and/or ‘your’ refer to the End User.

Your privacy is of utmost importance to us and protection of your Personal Data is a key commitment for us.THIS PRIVACY POLICY SETS OUT HOW WE COLLECT, USE, PROCESS, STORE, DISCLOSE AND PROTECT YOUR PERSONAL DATA (INCLUDING BUT NOT LIMITED TO BUSINESS, FINANCIAL OR OTHER SENSITIVE PERSONAL DATA) THROUGH YOUR USE OF THE VOICEBOT.

By accepting this Privacy Policy or by accessing and/or using Navana’s Offering, you are agreeing to be bound by this Privacy Policy.
You authorize Navana to action your behalf to obtain, store, transmit, process, use and disclose information collected from or about you in accordance with this Privacy Policy.

  1. DEFINITIONS
  2. The following words when used with the first letter capitalized shall have the meaning as set out below:

    1. “Account” refers to the account with the Platform that is required for you to use Navana’s Offering.
    2. "Client” means the Person who executes work orders with Navana for the use of the Voicebot in accordance with the terms of services of Navana, and includes such Person’s successors and permitted assigns.
    3. “Documentation” means documentation provided by Navana, relating to Navana’s Offering (e.g., user manuals and online help files), including the documentation available at [insert link to Navana’s website].
    4. “End User” means the end user of the Client that engages or communicates with the Voicebot on the Platform.
    5. "Minor": Refers to an individual who is incapable of providing valid consent to enter into contracts due to being below the minimum age prescribed by law to do so.
    6. Navana's Offering: Means the Voicebot, related services, Documentation, and related tools (if any).
    7. Person: Means any individual, partnership, limited liability partnership, limited liability company, body corporate, corporation, association, society, trust or other entity or organization, including a government or political subdivision or an agency or instrumentality thereof, whether or not a juridical person.
    8. Personal Data: Means any data that can be used to identify you. Personal Data does not include any information that is freely available or accessible in the public domain.
    9. Platform: Means third party platforms/applications (such as whatsapp) that the Voicebot may be integrated with in order to interact with End Users.
    10. Voicebot: Means the proprietary voice bot technology developed by Navana that can be used on third party mobile and website applications.
  3. CONSENT
    1. By accepting this Privacy Policy and/or using Navana's Offering (whether for yourself or on behalf of another Person), you confirm that you have all necessary rights and the capacity to do so, that you have read and understood this Privacy Policy and you agree that we may collect, use and process your Personal Data as provided in this Privacy Policy.
    2. If you represent another Person, you also warrant that you have the authority, intention and capacity to accept this Privacy Policy on behalf of such Person and to bind such Person. If you are accepting this Privacy Policy on behalf of a Minor or any individual who is unable to provide consent or enter into contracts for any reason, you are responsible for the actions of such Minor or individual, and for their compliance with this Privacy Policy.
    3. If you are not able to represent or warrant any of the above, please do not accept this Privacy Policy or access or use Navana’s Offering.
    4. You have the option to withdraw your consent given to us in respect of this Privacy Policy provided that the decision to withdraw consent is intimated to us in writing. If you wish to withdraw your consent, you can write to us or contact us as per the details provided in Clause 15. Note that withdrawing your consent for collection and usage of any information may affect the services being provided to you by Navana and the availability of one or more of Navana’s Offering.
  4. CHILDREN’S PRIVACY
    1. Navana’s Offering is not intended for Minors. You must be old enough to consent to the processing of your Personal Data without parental consent, and to provide valid consent to be bound by this Privacy Policy. No individual under the age of 18 may access or use Navana’s Offering.
    2. We do not knowingly collect, maintain, or use Personal Data from Minors without their guardian’s express consent. If we learn that we have collected any Personal Data from a Minor without the guardian’s express consent, we will delete such information and terminate their access to Navana’s Offering. If you are a guardian to a Minor and if it comes to your knowledge that the Minor has provided us with Personal Data without your consent, you should alert us at the contact information provided in Clause 15 of this Privacy Policy so that we will take prompt take action toward deleting necessary information.
    3. If a guardian is providing consent on behalf of the Minor to access and use Navana’s Offering, the guardian shall be solely responsible for the acts of the Minor and the liabilities arising out of such acts.
  5. INFORMATION WE COLLECT
    1. We collect the following information given to us by you:
      1. your name,date of birth, gender, postal address, email address, phone numbers, instant messaging account details.
      2. voice inputs or audio interactions when you use your voice to control the services/ interact with the Voicebot (e.g., by talking to the Voicebot).
      3. information contained in text or other messages/ communications sent over / through the Platform, Voicebot or in any other manner.
      4. anyother data that you provide, subject to your consent.
    2. Acquired Data
      1. From Clients. Through the course of our Service, the Client(s) may provide us with information from or about the End Users, or End Users’ use of their device or applications (which may include Personal Data), including, but not limited to, name, phone number, address, e-mail address, and zip code, voice data and transaction related information. Navana’s Offering has been integrated into our Clients’ products or applications (including any business account that our Client may have on a Platform like Whatsapp) and, to the extent that we process your Personal Data received in the course of us providing our services to our Client, we do so on the Client’s behalf for the purpose of providing the Service to them and in accordance with Navana’s terms of service and other agreements that Navana may execute with such Client. Please check with the relevant Client about the policies it has in place to protect the Personal Data of its End Users.
      2. From Platforms. When you interact with Navana’s Offering through a Platform such as Whatsapp, we may receive information such as:
        • Information regarding your identity including your full name, e-mail addresses, phone number (including the type of phone), physical addresses, profile picture, gender, username, language, country.
        • Information that we receive from your device including your IP address, your service provider, your device and browser details such as operating system and hardware model, time zone setting, device location.
        • Your location and location history, as tracked by the Platform.
        • Any other information associated with your Account on the Platform that you permit the Platform to share with third parties

        The data we receive is dependent upon your privacy settings with the Platform. You should always review, and if necessary, adjust your privacy settings on third-party websites and Platforms before using the Voicebot or any other aspect of Navana’s Offering.

      3. We also use cookies and similar tracking technologies to collect information. You can find more information about how we use cookies in Clause 9 below.
      4. We analyse the data collected or provided and draw inferences about such data. Such inferences are derived from the data about you. We may do this internally or authorise third parties to do this.
  6. USAGE OF THE INFORMATION WE COLLECT FROM YOU
    1. To maintain, operate and provide Navana’s Offering.
    2. To train, improve, enhance and develop the Voicebot and other aspects of Navana’s Offering that use machine learning and artificial intelligence.
    3. To improve, modify and develop Navana’s Offering and to develop new services.
    4. To track and analyse usage. We use the information to analyze how you use Navana’s Offering and improve Navana’s Offering.
    5. For statistics and analytics. We may use your Personal Data in an anonymised form to generate statistics that are not attributable to you personally or any Person in particular, and we may publish these statistics (e.g., average number of End Users using the Voicebot on the Platform, the features used, the response rate, etc) on our website or in our marketing material or in any other mode or manner.
    6. To input, modify, and update your information or voice responses, at your request.
    7. To provide support and communicate to and with you, Clients or the Platforms.
    8. To comply with contractual and legal obligations and compliances, and to protect against and/or institute legal action.
    9. To protect the rights, privacy, safety, or property of End User, Client, our partners, Navana, and others.
    10. To investigate any misuse of Navana’s Offering, and criminal activity or other illegal/unauthorized access or use of Navana’s Offering and/or infrastructure (such as servers, computers, code etc.).
    11. To send you communication regarding Navana’s Offering, pricing of Navana’s Offering and other promotional or marketing communication. You can unsubscribe from our promotional emails via the link provided in the emails. Even if you opt out of receiving promotional messages from us, you will continue to receive administrative messages from us.
    12. For any purpose permitted by law.
    13. For other notified purposes with your consent.

  7. HOW WE SHARE YOUR INFORMATION
    • We will share the information as deemed necessary or appropriate:
      • under Applicable law, including laws outside your country of residence;
      • to comply with legal process;
      • to respond to requests from public and government authorities including public and government authorities outside your country of residence;
      • to protect our operations or those of any of our affiliates;
      • to protect our rights, privacy, safety or property, and/that of our affiliates, you or others;
      • to allow us to pursue available remedies or limit the damages that we may sustain;
      • to protect against legal liability;
      • to protect the personal safety of End Users of the Platform; and/or
      • to prevent or investigate possible wrongdoing in connection with Navana’s Offering;
    • We may share your information:
      • With service providers on a need-to-know basis, subject to obligations of confidentiality for provision of services. We may share your information with institutions, vendors, partners, advertisers, and other service providers, including (but not limited) those who provide products or services such as contact information verification, website hosting, data analysis, providing infrastructure, information technology services, auditing services, and other similar services, in different industries and categories of business.
      • Between and among Navana and our current and future parents, Affiliates, subsidiaries, and other companies under common control or ownership. We may share your information with another company for the purpose of a merger or acquisition or similar activity.
      • With any other Person with your consent.
    • We may collect, use, and share your data after anonymization, for any purpose including improvement/enhancement of Navana’s Offering, research and development, etc.
  8. PLATFORM, CLIENT, THIRD PARTIES
    • Once you authorize Navana to share information with a particular Client or a Platform (such as WhatsApp or any third party required to complete the transaction requested by you), Navana is no longer responsible for such shared information, the information will be in control of the concerned Platform/Client and subject to the Platform’s/Client’s terms and policies. We do not assume responsibility for your data or the privacy policies of any Platform/Client. We encourage you to carefully review the privacy policies of any Platform or Client you choose to access or share your data with via Navana’s Offering. For your reference, the privacy policy of a Platform which is currently supported by Navana is listed below:
    • Navana’s Offering uses APIs of certain Platforms to connect with their services. If you wish to ensure that Navana’s Offering does not access data from a Platform you have previously connected to, you may follow the instructions provided by the Platform. The instruction for one such Platform currently supported by Navana is listed below:
    • THIS PRIVACY POLICY DOES NOT DESCRIBE WHAT THIRD PARTIES (INCLUDING PLATFORMS AND CLIENTS) MIGHT DO WITH YOUR DATA. ALL THIRD-PARTY OFFERINGS, SERVICES, PROCESSES, ETC. ARE SUBJECT TO THAT THIRD PARTY’S POLICIES. NAVANA TAKES NO RESPONSIBILITY REGARDING HOW ANY THIRD PARTY USES YOUR DATA, REGARDLESS OF WHETHER THEY ACQUIRE YOUR DATA THROUGH NAVANA OR NOT. IN CASE YOU NEED TO EXERCISE ANY OF YOUR RIGHTS AGAINST A PLATFORM OR A CLIENT, YOU WILL NEED TO CONTACT THE RELEVANT PLATFORM/CLIENT OR OTHER THIRD PARTY, AND YOUR RIGHTS IN RELATION TO THEM SHALL BE AS PER THE POLICIES AND PRACTICES OF THAT PLATFORM/CLIENT/THIRD PARTY. YOU SHOULD CAREFULLY REVIEW ALL LEGAL DOCUMENTATION, INCLUDING THE PRIVACY POLICIES OF EACH PLATFORM, THIRD PARTY, AND CLIENT WITH WHOM YOU ENGAGE.
  9. DATA SECURITY
  10. We take commercially reasonable steps to protect your information from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. However, no security system is impenetrable, and we disclaim responsibility to that extent. We cannot guarantee the security of your data whether located on our databases or otherwise, neither can we guarantee that your information will not be intercepted while it is being transmitted to and from us.

  11. COOKIES
    1. We may collect information using cookies or similar technology. Cookies are small data files stored by your browser on the hard drive or memory of your device. Cookies enable us to personalize your experience, maintain a persistent session, passively collect demographic information, monitor advertisements and other activities. They generally contain information such as website preferences, user settings, and browsing history and helps us recognize you as you interact with or revisit Navana’s Offering.
    2. We use both first-party and third-party session cookies and persistent cookies:
      • Session Cookies: We use session cookies to make it easier for you to navigate Navana’s Offering. These are cookies that terminate once you end your session.
      • Persistent Cookies: A persistent cookie remains on your device for an extended period of time or until it is deleted. To the extent we provide a log-in portal or related feature, persistent cookies can be used to store your passwords so that you don’t have to enter them more than once.
  12. USER RIGHTS AND CONTROLS
    1. If you have a right under applicable law to require us to delete your data, then you may do so at any time by contacting us in accordance with Clause 15 of this Privacy Policy and we will delete all data, provided that such deletion is legally permissible. Your exercise of such right will be subject to all permissible exceptions and exemptions available under law. We reserve our right to not comply with any request if permitted by law. You may be required to provide additional information necessary to confirm your identity before we can respond to your request. Please, however note that our ability to provide Navana’s Offering may be affected by such deletion.
    2. We will consider all such requests and provide our response within a reasonable period of time (and within any time period mandated by the applicable law)..
    3. Subject to legal and contractual requirements, you can refuse to consent to our collection, use or disclosure of information about you, or you may withdraw your consent to our further collection, use or disclosure of information at any time in the future by giving us reasonable notice in writing. Please note that your ability to use Navana’s Offering may be impacted should you withdraw your consent to the collection, use and disclosure of your information as outlined above.
  13. OUR LAWFUL BASES FOR PROCESSING
    1. Our legal basis for processing the information we collect related to individuals will depend on the information concerned and the context in which we collected or processed it. Unless otherwise stated we will only collect and process information:
      1. where we need to fulfill our responsibilities and obligations in any contract or agreement with you or our Client;
      2. to comply with our obligations under law;
      3. where the processing is necessary for our legitimate interests (including the Legitimate Purposes), but never overriding your data protection interests or fundamental rights and freedoms (such as, for instance, to provide or update Navana’s Offering);
      4. where it is necessary to protect the vital interests of you and/or other End Users; or
      5. if you have given your consent to do so.
  14. OUR RETENTION PRACTICES
    1. We retain your data for no longer than necessary to fulfil the purposes for which it was collected and used, as described in this Privacy Policy, unless a longer retention period is consented by you, or is necessary and legally permitted.
    2. Your data may be anonymised and such anonymised data may be retained indefinitely by us.
    3. Your data may be retained by us if required by the applicable law.
  15. EFFECTIVE DATE AND CHANGES TO THE PRIVACY POLICY
  16. This Privacy Policy shall come into effect on the effective date that is specified above. This Privacy Policy will be updated from time to time. If any updates or changes take place, we will notify you of the same by posting the same on our website http://sayl.ai/, and the effective date for each update or change will be specified at the top of the updated or changed version of the Privacy Policy. You are encouraged to review the Privacy Policy whenever you access Navana’s Offering or otherwise interact with us so that you are up to date on our data privacy practices and the choices available to you. Your continued use of Navana’s Offering will be considered as deemed consent of the changes to the Privacy Policies made in accordance with this clause. We may be unable to provide Navana’s Offering to you if you do not accept the updated terms of this Privacy Policy.
